Material Fact – Resignation of the Chairman of the Board
HOSPITAL MATER DEI S.A. (“Mater Dei” or “Company”) (B3: MATD3), pursuant to the article 157, paragraph 4th of the Law 6.404, December 15th, 1976, as amended, pursuant to the Brazilian Securities Commission (“CVM”) Resolution Nº 44/2021, August 23th, 2021, as amended, and the Novo Mercado regulation hereby informs its shareholders and the market that in the board of directors meeting on June 23rd, 2023, the chairman of the Board of Directors, Mr. José Salvador Silva, submitted his resignation as chairman of the Board of Directors, for which he had been elected in the board of directors meeting on May 12th, 2023. Mr. José Salvador Silva will continue as a Board of Directors member.
Pursuant to the article 15 from Mater Dei’s bylaws, Mr. Henrique Moraes Salvador Silva, current 1st Board of Directors Vice Chairman, will occupy, on a temporary basis, the post as chairman of the Board of Directors, as allowed in the article 20 of the Novo Mercado regulation. Mrs. Maria Norma Salvador Ligório, current 2nd Board of Directors Vice Chairman, will occupy the post as 1st Board of Directors Vice Chairman. In the board of directors meeting on June 23rd, 2023, elected Mrs. Márcia Salvador Geo to occupy the post as the 2nd Board of Directors Vice Chairman.
The Company informs that the resignation is one more step in the previously established succession process between the Salvador’s Family Generation, founder, major shareholder, and the Company operator for more than 40 years. This is the second movement of this planned and structured succession plan, qualifying the second and third Generation members of the Family to occupy strategic positions in its governance. The transition will happen until 10 months, estimated date of the next Company’s Annual Shareholders Meeting, , when Mr. Henrique Moraes Salvador Silva intend to leave the post as President and Mr. José Henrique Dias Salvador, current Chief Operating Officer, will start the post as President, Mr. Felipe Salvador Ligório, current Chief Medical Officer, will start the post as Assistance Vice-President, Mrs. Renata Sabino Salvador Grande, current Chief Commercial & Marketing Officer, will start the post as Commercial & Marketing Vice-President and Mr. André Soares de Moura Costa, current general director of Betim-Contagem unit, will start the post as Chief Operating Officer.
Mr. José Henrique holds a business administration degree from IBMEC, concluded in 2008. In 2011 completed a Hospital Management Specialization from Fundação Dom Cabral (FDC). He has a Full Time MBA from Columbia University (USA), that he graduates in 2015. During his degree course, he worked at Rede Mater Dei, Dasa and Hospital Sírio Libanês. After college, from 2009 to 2010 worked at Hospital Albert Einstein, and, after that, became administrative manager at Rede Mater Dei. In 2015, he was the Commercial Director at Rede Mater Dei. In 2016, he took over the Chief Operating Officer post at Rede Mater Dei de Saúde, position that he currently holds. In 2019 and 2020, he was the president of Chapter Minas Gerais at Brazilian College for Healthcare Executives (CBEXs). He is a member of Young Presidents’ Organization (YPO) since 2016. In 2020, was vice-president of Private Hospitals National Congress (CONAHP) and in 2021 became president. In addition to his current executive performance, is a member at the A3Data board of directors, and started the OPM (Owners and President Management) at Harvard Business School, with graduation scheduled for March 2025.
Dr. Felipe is a physician and holds a graduate degree from Centro Universitário de Belo Horizonte in 2012. He did a hospital management specialization at Universidade do Vale do Rio dos Sinos (2014), he was an assessor of the technical direction at Rede Mater Dei de Saúde from 2011 to 2013 and at Hospital Mãe de Deus from 2013 to 2014. In 2014, he become assistance clinical manager at Rede Mater Dei de Saúde and in 2018 concluded an MBA at London Business School. During the MBA, in 2017, he was the project implementation leader at the International Consortium for Health Outcomes Measurement (ICHOM). Since 2018 is the Chief Medical Officer at Rede Mater Dei. In 2023 will be part of the executive program Advanced Management Program (PGA) at Fundação Dom Cabral (FDC) in partnership with INSEAD.
Mrs. Renata has 18 years of healthcare experience, she has a law degree from Anhembi Morumbi in São Paulo, she worked in the financial and in the administrative area at Rede Mater Dei from 2006 to 2010 and in the financial and commercial area at HCor in São Paulo from 2011 to 2014. She was the administrative manager from 2014 to 2019 at Rede Mater Dei. From 2017 to 2018 attended Full Time MBA at Hult International Business School in Boston and Shanghai. In 2019 at the same study institution, conclude a Marketing Master with honor. In 2022, was certified by ACE, Advanced Certificate for Executives in Management, Innovation and Technology at Massachusetts Institute of Technology (MIT). In 2019, took over the Chief Commercial & Marketing Officer, post that she current occupy in the Company. She is a member at the A3Data board of directors and coordinates the relationship group with the operators of ANAHP.
Dr. André holds a degree in Medicine and a Master’s degree in Adult Health from the Federal University of Minas Gerais (2011). He is a specialist in Internal Medicine from the Mario Penna Institute and an Executive MBA from the Dom Cabral Foundation. With eight years of clinical experience in various healthcare sectors, including emergency care, outpatient clinics, hospitalization, and intensive care, Dr. André has been involved in teaching Evidence-Based Medicine and providing training in Health Technology Assessment for both healthcare providers and insurers. In 2018, he became the Medical Manager at Rede Mater Dei, and since 2019, he has served as the General Director of the Betim-Contagem unit.
Furthermore, at first it will be created two advisory committee to the Company’s board of directors, Assistance Committee and Commercial Committee, that will support the management in this transition process, as a way to improve its corporate governance processes.
