Amendment to the Shareholders’ Agreement

Méliuz S.A. (B3: CASH3) (“Company”), in compliance with Law No. 6,404/76, as amended, with CVM Resolution No. 44 of August 23, 2021, and with the Novo Mercado Regulations of B3 S.A. – Brasil, Bolsa, Balcão, hereby informs its shareholders and the market in general that, on this date, an amendment to the Company’s Shareholders’ Agreement (“Agreement”) was executed, with the purpose of replacing two of its signatory shareholders with two new signatories.

Gabriel Loures, the Company’s CEO and Chief Officer of Growth, Strategy and New Business, and Túlio Braga, the Company’s Chief Operating Officer, have been included as signatories to the Agreement. The shareholders ORG Investments LLC and Lucas Marques Peloso have ceased to be signatories to the Shareholders’ Agreement. With these changes, the signatories to the Shareholders’ Agreement currently hold, in aggregate, 17.9% of the Company.
