Barueri, 06 de março de 2019 – A Smiles Fidelidade S.A. (B3 – Brasil, Bolsa, Balcão: SMLS3) (“Companhia” ou “Smiles”), em cumprimento à Instrução CVM nº 358, de 03 de janeiro de 2002, comunica aos seus acionistas e ao mercado em geral que, não obstante o fato relevante divulgado ao mercado em 28 de março de 2019, o Sr. LEONEL DIAS DE ANDRADE NETO, por questões de foro pessoal, comunicou à Companhia a sua renúncia, nesta data, aos cargos de (i) Diretor Presidente da Companhia, para o qual foi eleito em reunião do Conselho de Administração realizada em 14 de fevereiro de 2019, e (ii) administrador das subsidiárias da Companhia, renúncia esta que terá eficácia a partir da presente data.
Em razão disto e em linha com o programa de sucessão divulgado no fato relevante de 28 de março de 2019, o Conselho de Administração da Companhia aprovou a eleição do Sr. ANDRÉ FEHLAUER que, a partir da presente data, deixa o cargo de Diretor sem designação específica da Companhia e passa a ser o novo Diretor Presidente da Companhia.

Barueri, May 06, 2019 – Smiles Fidelidade S.A. (B3 – Brasil, Bolsa, Balcão: SMLS3) (“Company” or “Smiles”), in accordance with Normative Instruction No. 358, issued by the Brazilian Securities and Exchange Commission (CVM) on January 3rd, 2002, hereby informs its shareholders and the market in general that, notwithstanding the relevant fact disclosed to the market on March 28, 2019, Mr. LEONEL DIAS DE ANDRADE NETO, for personal reasons, on the date hereof informed the Company of his resignation from the following positions (i) Chief Executive Officer of the Company, to which he was reelected at the Board of Directors’ Meeting held on February 14th, 2019, and (ii) officer of the Company’s subsidiaries, which shall be in effect as of the date hereof.
Therefore, and aligned with the succession program disclosed in the relevant fact of March 28, 2019, the Company’s Board of Directors has approved the election of Mr. ANDRÉ FEHLAUER, who shall leave the position of Officer without specific designation of the Company and become the new Chief Executive Officer of the Company as of the date hereof.
